Welcome to Smart Bot Plus.

These Terms of Service (“Terms”) govern your access to and use of the Smart Bot Plus website, platform, applications, integrations, software, tools and related services (collectively, the “Services”).

Smart Bot Plus is operated from Pakhiwala Street, Sultanpur Lodhi, Kapurthala, Punjab, India. In these Terms, “Smart Bot Plus,” “we,” “us” and “our” refer to the owner and operator of the Services.

By creating an account, purchasing a subscription, connecting a third-party account, accessing or using any part of the Services, you confirm that you have read, understood and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

If you use the Services on behalf of a company, organisation or other legal entity, you represent and warrant that:

  • you have the authority to bind that entity to these Terms;

  • all information you provide on behalf of that entity is accurate; and

  • the entity agrees to be responsible for your use of the Services.

You must not use the Services if applicable law prohibits you from doing so.

2. Description of the Services

Smart Bot Plus provides web-based tools that may include:

  • customer relationship management tools;

  • chatbot and communication tools;

  • social-media account integrations;

  • social-media content preparation, scheduling, uploading or publishing;

  • automation tools and workflows;

  • analytics and reporting;

  • team and account-management features;

  • marketing and customer-engagement tools; and

  • other related features that may be introduced, modified or discontinued from time to time.

The exact features available to you may depend on your subscription plan, account type, location, connected third-party services and any technical or platform restrictions.

We do not guarantee that every feature will always be available in every country, subscription plan or third-party platform.

3. Account Registration

You may be required to create an account to access some or all of the Services.

You agree to:

  • provide accurate, current and complete registration information;

  • keep your account information updated;

  • maintain the confidentiality of your login credentials;

  • use a strong and secure password;

  • immediately notify us of any unauthorised account access or security breach; and

  • accept responsibility for activities performed through your account, except where caused directly by our failure to maintain reasonable security measures.

You must not share your account credentials with unauthorised persons, create an account using false information, impersonate another person or entity, or access another user’s account without permission.

We may require identity, email, telephone number or business verification before enabling certain features.

4. Account Security

You are responsible for maintaining the security of your account, connected social-media accounts, email address, devices and authentication methods.

Where available, you should enable two-factor authentication or other security features.

Smart Bot Plus will not be responsible for losses resulting from:

  • your failure to secure your account;

  • your disclosure of login credentials;

  • unauthorised access caused by your devices or systems;

  • access granted by you to employees, contractors or team members; or

  • your failure to revoke access when a team member no longer requires it.

You must notify us promptly at info@smartbotplus.com if you believe your account has been compromised.

5. Connected Third-Party Accounts

The Services may allow you to connect accounts from third-party platforms, including social-media, messaging, analytics, advertising or payment platforms.

These may include platforms such as TikTok, Facebook, Instagram, X, LinkedIn, Pinterest, Telegram or other supported providers.

By connecting a third-party account, you represent and warrant that:

  • you own or are authorised to manage the connected account;

  • you have authority to grant Smart Bot Plus the requested permissions;

  • your use of the account complies with the third party’s terms, policies and guidelines;

  • the information you provide in connection with the account is accurate; and

  • you will not use the integration to access or control an account without proper authorisation.

You authorise Smart Bot Plus to access and process information from the connected account only to the extent necessary to provide the features requested by you and permitted by the permissions you grant.

Third-party services are independent from Smart Bot Plus. We do not control their availability, security, functionality, policies, approval processes, API limits or technical decisions.

A third-party provider may:

  • change or remove an API or feature;

  • restrict or suspend an account;

  • require additional verification;

  • reject, delay or remove content;

  • change its permissions or policies;

  • impose rate limits; or

  • revoke Smart Bot Plus access.

Smart Bot Plus is not responsible for actions, omissions, outages, restrictions or decisions made by third-party platforms.

6. TikTok Integration

Smart Bot Plus may allow eligible users to connect a TikTok account and use approved TikTok integration features.

Depending on the permissions granted by you and the features approved by TikTok, these features may include:

  • authenticating your TikTok account;

  • retrieving basic TikTok profile information;

  • selecting or preparing content for TikTok;

  • uploading videos, images or other supported content;

  • submitting content for publication;

  • retrieving content-processing or publishing status; and

  • displaying information associated with your connected TikTok account.

You retain control over your TikTok account and content.

Smart Bot Plus will not intentionally publish content to your TikTok account unless you initiate or confirm the relevant publishing action through the Services.

Before submitting content to TikTok, you are responsible for reviewing and confirming:

  • the video, photograph or other media;

  • captions, hashtags and descriptions;

  • privacy and visibility settings;

  • commercial-content disclosures;

  • music, audio and other licensed material;

  • branded-content settings;

  • account selection; and

  • all other publishing options.

You must comply with all applicable TikTok terms, community guidelines, developer requirements, intellectual-property policies, advertising rules and commercial-content requirements.

Approval of Smart Bot Plus by TikTok does not guarantee that:

  • your TikTok account will be approved or remain active;

  • particular permissions will remain available;

  • content submitted by you will be accepted or published;

  • your content will receive any particular visibility or engagement;

  • TikTok will not restrict, remove or suspend your content or account; or

  • TikTok integration features will remain unchanged.

TikTok is an independent third-party service. Smart Bot Plus is not TikTok and does not control TikTok’s systems, reviews, policies or enforcement decisions.

You may disconnect your TikTok account through Smart Bot Plus, where that option is available, or revoke access through your TikTok account settings.

7. User Content

“User Content” means any text, message, caption, image, video, audio, file, link, contact information, customer information, campaign, instruction or other material uploaded, created, submitted, transmitted, stored or published through your account.

You retain ownership of your User Content.

You grant Smart Bot Plus a limited, non-exclusive, worldwide and royalty-free licence to host, store, reproduce, process, format, transmit and display User Content solely as necessary to:

  • provide the Services;

  • perform actions requested by you;

  • publish content to connected platforms;

  • maintain backups;

  • prevent fraud or misuse;

  • provide technical support; and

  • comply with applicable law.

This licence continues only for as long as necessary to provide the Services or satisfy legitimate legal, security and operational requirements.

You represent and warrant that:

  • you own the User Content or have all necessary permissions to use it;

  • the User Content does not infringe intellectual-property, privacy, publicity or other rights;

  • you have obtained any required consent from individuals appearing in the content;

  • any customer or contact data uploaded by you was collected lawfully;

  • the content is accurate where accuracy is legally required; and

  • publication or processing of the content will not violate applicable laws or third-party policies.

We do not claim ownership of your User Content.

8. Your Responsibility for Published Content

Smart Bot Plus provides tools that help users prepare, manage or publish content. You are solely responsible for the content and instructions submitted through your account.

You are responsible for ensuring that your content:

  • complies with applicable laws and regulations;

  • complies with the rules of each connected platform;

  • does not contain misleading or unlawful advertising;

  • includes legally required disclosures;

  • does not violate copyright, trademark or privacy rights;

  • does not contain malicious code or harmful files;

  • does not impersonate another person or organisation; and

  • is appropriate for its intended audience.

Smart Bot Plus does not endorse, verify or guarantee the accuracy, legality or quality of User Content.

The availability of a feature does not mean that every use of that feature is lawful or permitted by a connected platform.

9. Acceptable Use

You must not use the Services to:

  • violate any applicable law, regulation or court order;

  • infringe intellectual-property, privacy, publicity or contractual rights;

  • publish illegal, fraudulent, deceptive, defamatory, threatening, harassing or abusive content;

  • distribute malware, viruses, ransomware or harmful code;

  • send spam, bulk unsolicited messages or prohibited commercial communications;

  • conduct phishing, credential theft or identity theft;

  • scrape, harvest or collect information without lawful authority;

  • create fake engagement, followers, likes, views, comments or other artificial activity;

  • bypass platform restrictions, rate limits, authentication or security controls;

  • gain unauthorised access to any account, system, network or data;

  • interfere with or disrupt the Services;

  • reverse engineer, decompile or attempt to extract source code except where applicable law expressly permits it;

  • copy, resell, sublicense or commercially exploit the Services except under a written agreement with us;

  • use automated systems in a manner that creates unreasonable load or abuse;

  • publish content to an account you are not authorised to manage;

  • conceal required sponsorship or commercial-content disclosures;

  • promote illegal products, services or activities;

  • facilitate discrimination, exploitation or harm;

  • upload personal information without a lawful basis; or

  • use the Services in any manner that may expose Smart Bot Plus or another person to legal, regulatory or security risk.

We may investigate suspected violations and may restrict, suspend or terminate access where reasonably necessary.

10. Compliance With Third-Party Platform Rules

Your use of any connected platform must comply with that platform’s current terms, policies, technical requirements and community rules.

You are responsible for monitoring and complying with changes made by third-party platforms.

Smart Bot Plus may modify, limit, disable or remove an integration when reasonably necessary to:

  • comply with a platform requirement;

  • address security or privacy concerns;

  • prevent misuse;

  • respond to an API or policy change;

  • comply with applicable law; or

  • protect users, Smart Bot Plus or a third party.

We are not liable for losses arising solely from a third-party platform changing, restricting or discontinuing its services.

11. Subscriptions and Fees

Some Services may be offered free of charge, while others require a paid subscription.

Prices, billing periods, included features and usage limits will be displayed before purchase or described in the applicable plan.

By purchasing a paid plan, you agree to:

  • pay all applicable fees;

  • provide accurate billing information;

  • authorise the applicable payment processor to charge the selected payment method; and

  • pay any applicable taxes, duties or government charges unless they are included in the displayed price.

Unless otherwise stated, subscription fees are charged in advance.

Available features and limits may differ between plans.

We may change subscription prices or plan features. Where required, we will provide reasonable notice before a price change applies to a future billing period.

12. Recurring Billing and Cancellation

Where a subscription renews automatically, you authorise recurring charges to your selected payment method at the beginning of each billing period until cancellation.

You may cancel a subscription through your account settings, where available, or by contacting us.

Cancellation stops future renewal charges but does not automatically refund fees already paid for the current billing period, except where required by law or expressly stated in our refund policy.

After cancellation, paid features may remain available until the end of the current paid billing period.

Deleting a social-media integration or disconnecting a third-party account does not automatically cancel your Smart Bot Plus subscription.

13. Trials and Promotional Offers

We may provide free trials, promotional pricing, discounts, coupons or limited-access plans.

Additional terms displayed with an offer will form part of these Terms.

Unless otherwise stated:

  • a trial is available only once per user, business or payment method;

  • trial features may be limited;

  • we may end or modify a promotional offer;

  • unused promotional value has no cash value; and

  • attempts to create multiple accounts to obtain repeated trials are prohibited.

Where payment details are collected for a trial that automatically becomes paid, the renewal terms will be disclosed before activation.

14. Refunds

Except where required by applicable law or expressly stated at the time of purchase, subscription and service fees are non-refundable after the relevant billing period has started.

A refund will not normally be provided for:

  • failure to cancel before renewal;

  • unused subscription time;

  • failure to use available features;

  • a third-party account suspension or restriction;

  • content rejected or removed by a social-media platform;

  • loss of a third-party API feature;

  • incorrect content or account selection by the user;

  • a change in the user’s business needs; or

  • violation of these Terms or a third-party platform’s rules.

Where we approve a refund, it will normally be returned through the original payment method. Processing time may depend on the payment provider.

Nothing in this section limits any non-waivable consumer rights available under applicable law.

15. Payment Processors

Payments may be processed by independent third-party payment processors.

The payment processor may collect and process information such as your payment-card details, billing address and transaction information under its own terms and privacy policy.

Smart Bot Plus may receive transaction identifiers, payment status, billing details and limited payment-related information.

Unless expressly stated otherwise, Smart Bot Plus does not directly store complete payment-card numbers or card security codes.

We are not responsible for delays, errors, holds, declines or other actions taken solely by a payment processor.

16. Service Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free or permanently available access.

The Services may be interrupted or limited because of:

  • scheduled maintenance;

  • emergency maintenance;

  • software defects;

  • infrastructure or hosting failures;

  • cyberattacks or security incidents;

  • internet or telecommunications failures;

  • third-party platform outages;

  • API restrictions or rate limits;

  • legal or regulatory requirements; or

  • events outside our reasonable control.

We may update, modify, replace, suspend or discontinue any feature.

Where reasonably practical, we may provide notice of a material discontinuation, but emergency, legal, technical or security circumstances may require immediate action.

17. Beta and Experimental Features

Some features may be labelled beta, preview, experimental, early access or similar.

Such features may be incomplete, unavailable, inaccurate or subject to change without notice.

You use beta or experimental features at your own risk. They may not be suitable for production, legal-compliance or business-critical use.

18. Intellectual Property

The Services, including their software, interfaces, designs, logos, text, graphics, databases, workflows and other materials, are owned by or licensed to Smart Bot Plus and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the Services for your lawful personal or internal business purposes.

You must not:

  • copy or reproduce the Services except as permitted by us;

  • remove copyright, trademark or proprietary notices;

  • use Smart Bot Plus branding without written permission;

  • create derivative works from the Services;

  • sell, rent, sublicense or redistribute the Services;

  • use the Services to build a competing product through unauthorised copying; or

  • claim ownership of any Smart Bot Plus intellectual property.

Names, logos and trademarks of TikTok and other third-party platforms belong to their respective owners. Their appearance within the Services does not imply ownership by Smart Bot Plus.

19. Feedback

If you send us suggestions, ideas, comments or feedback about the Services, you grant us the right to use that feedback without restriction or compensation.

This does not transfer ownership of your confidential business information or User Content.

20. Privacy and Data Protection

Our collection, use, storage and disclosure of personal information are described in our Privacy Policy.

By using the Services, you acknowledge that information may be processed as described in the Privacy Policy.

If you upload or process personal information belonging to another person, you are responsible for:

  • having a lawful basis to process that information;

  • providing any legally required notices;

  • obtaining any required consent;

  • responding to requests from data subjects; and

  • using the information only for lawful purposes.

You must not use the Services to upload sensitive or regulated data unless the Services expressly support that use and you have all legally required safeguards and permissions.

21. Data Retention and Account Deletion

You may request account deletion by contacting us at info@smartbotplus.com.

Before requesting deletion, you should export any information you wish to retain.

Following a verified deletion request, we may delete or anonymise your account information and User Content, subject to reasonable processing time and any retention required for:

  • legal or regulatory compliance;

  • fraud prevention;

  • security;

  • tax or accounting obligations;

  • dispute resolution;

  • enforcement of agreements; or

  • backup and disaster-recovery systems.

Information stored in backups may remain until the applicable backup is securely overwritten or deleted.

Disconnecting a social-media account does not necessarily delete your Smart Bot Plus account or subscription.

22. Suspension and Termination

You may stop using the Services at any time.

We may restrict, suspend or terminate your account if we reasonably believe that:

  • you violated these Terms;

  • you violated applicable law;

  • you violated a third-party platform’s rules;

  • your account creates a security or privacy risk;

  • your use may harm another person or Smart Bot Plus;

  • required fees remain unpaid;

  • information provided by you is false or misleading;

  • we are required to act by law, court order or platform instruction; or

  • continued provision of the Services is no longer technically or commercially reasonable.

Where appropriate, we may provide notice and an opportunity to correct the issue. We may act immediately in cases involving security, fraud, illegality, platform abuse or risk of harm.

Termination may result in loss of access to your account, integrations, automations and stored content.

Sections that by their nature should survive termination will remain effective, including sections concerning payments, intellectual property, disclaimers, liability, indemnity, disputes and governing law.

23. Disclaimers

The Services are provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law.

Smart Bot Plus does not guarantee that:

  • the Services will always be available, secure or error-free;

  • every integration will continue to operate;

  • third-party platforms will approve your account, application, permissions or content;

  • scheduled content will always publish at an exact time;

  • the Services will produce specific sales, engagement, revenue or business results;

  • reports or analytics will always be complete or accurate;

  • every defect will be corrected; or

  • the Services will meet every individual business requirement.

You are responsible for reviewing important content, account settings, campaign information and publishing instructions before submission.

You should maintain independent copies of business-critical content and information.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Smart Bot Plus and its owners, employees, contractors, affiliates and service providers will not be liable for any indirect, incidental, special, punitive, exemplary or consequential loss, including:

  • loss of profits;

  • loss of revenue;

  • loss of business opportunity;

  • loss of goodwill;

  • loss of data;

  • account suspension;

  • content removal;

  • loss of social-media reach;

  • interruption of business; or

  • costs of substitute services.

This limitation applies whether the claim is based on contract, tort, negligence, statutory duty or another legal theory, even if we were informed that such loss was possible.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to the Services will not exceed the total amount you paid to Smart Bot Plus during the six months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

25. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless Smart Bot Plus, its owner, employees, contractors, affiliates and service providers from claims, damages, losses, penalties, liabilities, costs and reasonable legal expenses arising from:

  • your use or misuse of the Services;

  • your User Content;

  • your violation of these Terms;

  • your violation of applicable law;

  • your violation of a third-party platform’s rules;

  • your infringement of intellectual-property, privacy or other rights;

  • your unauthorised access to or management of another account; or

  • actions performed through your account by persons authorised by you.

We reserve the right to control the defence of a matter subject to indemnification, and you agree to provide reasonable cooperation.

26. Electronic Communications

By creating an account, you agree to receive electronic communications relating to:

  • account verification;

  • security;

  • payments;

  • subscriptions;

  • service updates;

  • technical notices;

  • policy changes; and

  • customer support.

Service-related and security communications are necessary for account operation and may continue even if you opt out of marketing messages.

You may unsubscribe from promotional emails using the unsubscribe option in the relevant message or by contacting us.

27. Changes to the Services

We may modify the Services to improve functionality, address security concerns, comply with law, respond to third-party platform changes or meet operational requirements.

Updates may change how a feature works or require you to reconnect an account, grant revised permissions or update your settings.

We are not responsible for a user’s failure to complete a required update or reconnection.

28. Changes to These Terms

We may update these Terms from time to time.

The updated Terms will be posted on the Smart Bot Plus website with a revised “Last Updated” date.

Where a change materially affects your rights or obligations, we may provide additional notice through email, an account notification or another reasonable method.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you must stop using the Services and cancel any active subscription.

29. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory rights or jurisdiction available under applicable consumer law, courts located in Kapurthala, Punjab, India will have jurisdiction over disputes arising from or relating to these Terms or the Services.

Before beginning formal legal proceedings, you agree to make a reasonable effort to resolve the dispute by contacting us and providing details of the issue.

30. Force Majeure

Smart Bot Plus will not be responsible for delay or failure caused by events beyond our reasonable control, including:

  • natural disasters;

  • war or civil unrest;

  • government action;

  • labour disputes;

  • power or internet failures;

  • telecommunications failures;

  • cyberattacks;

  • widespread infrastructure failures;

  • third-party service outages; or

  • changes imposed by social-media or technology platforms.

31. Assignment

You may not transfer or assign your rights or obligations under these Terms without our written consent.

We may transfer or assign these Terms in connection with a merger, acquisition, restructuring, sale of assets or transfer of the Services, provided that the successor assumes the applicable obligations.

32. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be limited or removed only to the minimum extent necessary.

The remaining provisions will continue in effect.

33. Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

A waiver is valid only when made in writing by an authorised representative of Smart Bot Plus.

34. Entire Agreement

These Terms, together with the Privacy Policy, applicable plan details and any additional terms presented for a specific feature or service, constitute the entire agreement between you and Smart Bot Plus regarding the Services.

They replace prior discussions, representations or agreements relating to the same subject matter.
